TERMS OF SERVICE

1. Introduction

Welcome to Talmemetic Pte Ltd ("Company," "we," "our," "us"). These Terms of Service ("Terms") govern your use of our web-based application, software, and related services (collectively, the "Service") designed for managing customer communications.

By using the Service, you agree to these Terms on behalf of your organization (the "Customer" or "Company"). If you are an employee or agent accepting these Terms on behalf of a business, you represent and warrant that you have the authority to bind that business to these Terms.

2. Definitions

  • "Customer" or "Subscriber" : The business entity (e.g., an SMB) that has purchased a subscription to the Service.

  • "User" or "End-User" : An individual who is authorized by the Customer to use the Service, typically an employee or contractor of the Customer.

  • "Subscription Plan" : The pricing and service package (e.g., number of users, storage limits) selected by the Customer during the sign-up process.

  • "Customer Data" : Any data, text, files, information, or materials that Users upload, submit, or store within the Service.

3. Account Registration and Security

3.1. Account Creation. To use the Service, you must create an account using a valid work email address. You must provide accurate and complete information.

3.2. Account Responsibility. The Customer is responsible for all activities that occur under its account and its Users' accounts, regardless of whether the activities are authorized by the Customer or undertaken by the Customer, its employees, or a third party.

3.3. Security. You are responsible for maintaining the security of your account credentials. We cannot and will not be liable for any loss or damage from your failure to comply with this security obligation. You must notify us immediately of any unauthorized use of your account.

4. Subscriptions, Payments, and Fees

4.1. Fees. The fees for the Service are specified on our website or in a separate order form. Fees are non-refundable except as required by law or as expressly stated in these Terms.

4.2. Payment. The Customer agrees to pay all applicable fees in accordance with the chosen Subscription Plan. Payment obligations are non-cancellable, and fees paid are non-refundable.

4.3. Billing. If you are on a recurring subscription, we will automatically bill your chosen payment method each month or year, as applicable.

4.4. Late Payments. If any fees are thirty (30) days or more overdue, we may suspend your access to the Service until such amounts are paid in full.

5. Acceptable Use Policy (AUP)

You may not use the Service to:

  • Upload, post, or transmit any content that is unlawful, threatening, abusive, harassing, defamatory, or invasive of another's privacy.

  • Violate any applicable local, national, or international law.

  • Infringe upon the intellectual property rights of others.

  • Distribute viruses, malware, or any other harmful code.

  • Attempt to gain unauthorized access to the Service, other accounts, or computer systems.

  • Use the Service to send spam or unsolicited messages.

  • Reverse engineer, decompile, or disassemble the Service.

6. Intellectual Property Rights

6.1. Our IP. The Company owns all rights, title, and interest in and to the Service, including but not limited to the software, code, visual interfaces, graphics, design, and trademarks. You may not copy, modify, or create derivative works based on the Service without our express written consent.

6.2. Customer Data. As between you and the Company, you retain all right, title, and interest in and to your Customer Data.

6.3. License to Host. By submitting Customer Data to the Service, you grant us a worldwide, royalty-free, and non-exclusive license to host, copy, transmit, and display Customer Data solely as necessary for us to provide the Service to you.

7. Data Privacy and Security

7.1. Privacy Policy. Our privacy practices are outlined in our Privacy Policy. By using the Service, you consent to such practices.

7.2. Security. We implement commercially reasonable technical and organizational measures to protect Customer Data. However, no method of transmission over the Internet or method of electronic storage is 100% secure.

8. Third-Party Services

The Service may integrate with third-party applications, such as for payment processing. The Company does not control and is not responsible for the content, policies, or practices of any third-party services. Your interaction with these services is governed by their terms.

9. Cancellation and Termination

9.1. By Customer. You may cancel your subscription at any time through your account dashboard. The cancellation will take effect at the end of your current billing cycle.

9.2. By Company. We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach the Terms.

9.3. Effect of Termination. Upon termination, your right to use the Service will immediately cease. We will provide you with the ability to export your Customer Data for a period of [30 days] following termination, after which we may delete your data from our systems.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE COMPANY MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE OPERATION OR AVAILABILITY OF THE SERVICE, OR THE INFORMATION, CONTENT, AND MATERIALS INCLUDED THEREIN. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID US IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

12. Indemnification

You agree to defend, indemnify, and hold harmless the Company and its employees, contractors, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to legal fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; or (iii) your violation of any third-party right, including without limitation any copyright or privacy right.

13. Modifications to Terms or Service

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

14. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law provisions.
